Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Brain & Bones, LLC ("Brain & Bones," "we," "us," or "our"), a Texas limited liability company, governing your access to and use of BoxPin — our web application and the website at boxpin.co & app.boxpin.co (together, the "Service").

By creating an account, redeeming an activation code, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to create an account and agree to these Terms. The Service is not intended for, and may not be used by, children under 13. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

3. The Service

BoxPin lets you photograph the labels and contents of physical storage boxes; uses AI to identify and tag items; creates a searchable inventory; and lets you find boxes by searching for items or by re-photographing a label. It also lets you add notes, share boxes, and (on eligible plans) collaborate with family members or a team.

We may change, add, or remove features at any time. We may also impose limits on certain features or restrict access to parts of the Service.

4. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate information and to keep it current.
  • Notify us promptly at support@brainandbonesllc.com if you suspect unauthorized use of your account.
  • You may sign up with an email and password or through Google sign-in. You are responsible for your use of any third-party sign-in service.

5. Plans, Billing, and Cancellation

5.1 Plans

BoxPin offers a Free plan and paid subscription plans. Prices, features, and limits are subject to change.

5.2 Billing and Auto-Renewal

  • Paid plans are billed in advance through our payment processor, Stripe, on a recurring (monthly or annual) basis.
  • Your subscription automatically renews at the end of each billing period at the then-current price unless you cancel before the renewal date.
  • By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees and taxes until you cancel.

5.3 Annual Plans

Annual plans may be offered at a discount (for example, two months free). Annual terms are billed in advance for the full year.

5.4 Cancellation

You may cancel at any time through your account settings. Cancellation stops future renewals. When a paid subscription ends, your account reverts to the Free plan, subject to Free plan limits.

5.5 Refunds

Fees are non-refundable except where required by law.

5.6 Plan Limits

Free plan accounts are limited to 5 boxes. When you reach a plan's limit, you may need to upgrade to continue creating boxes. We enforce plan limits based on your active subscription.

5.7 Price Changes

We may change prices. We will give you reasonable advance notice of any price increase, and it will take effect on your next renewal after the notice period.

6. Sponsor Program and Activation Codes

  • Sponsors (such as real estate agents, moving companies, and storage operators) may purchase activation codes and distribute them to their clients.
  • Redeeming a code may grant you a specified plan for a limited time without entering payment information. When the sponsored period ends, continued access to paid features requires a paid subscription.
  • Activation codes have no cash value, may expire, and may not be resold, transferred, or used except as intended.
  • Sponsors are responsible for how they distribute codes and for their co-branded materials, and must comply with these Terms and applicable law.

7. Your Content

7.1 Ownership

You retain all rights to the photos, labels, item names, notes, and other content you add to BoxPin ("Your Content"). We do not claim ownership of Your Content.

7.2 License to Us

You grant Brain & Bones a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit Your Content solely to operate, provide, secure, and improve the Service for you — including sending your photos to our AI provider to generate tags and matches, and displaying boxes to people you choose to share them with. This license ends when you delete Your Content or your account, except for content already shared with others, content retained in backups for a limited period, and de-identified or aggregated data.

7.3 Your Responsibilities

You represent that you have the rights necessary to upload Your Content and that it does not violate any law or third-party right. You are solely responsible for what you photograph and store, and for choosing whom to share boxes with. Do not upload content you do not have the right to store, and be mindful that photos of box contents may capture sensitive items or information.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Upload content that is illegal, infringing, or that you lack the right to store;
  • Attempt to access another user's account, boxes, or data without authorization;
  • Reverse engineer, scrape, overload, or interfere with the Service or its security;
  • Probe or brute-force activation codes, share tokens, or other access controls;
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted (for example, the Business plan and API within its limits);
  • Use the Service to build a competing product or to train a competing model; or
  • Misuse AI features (for example, by submitting content designed to produce harmful or unlawful output).

We may suspend or terminate accounts that violate this section.

9. AI Features and Disclaimer

BoxPin's tagging, label reading, and matching features rely on artificial intelligence and may be inaccurate or incomplete. AI-generated tags are suggestions only; you are the final editor and are responsible for reviewing and correcting them. Do not rely on BoxPin's AI output as the sole record for anything where accuracy is critical (for example, insurance, legal, or financial inventories) without independently verifying it.

10. Sharing Features

The Service lets you share boxes by link, text, or email. Anyone with a valid share link or token may be able to view the shared box until the share expires or you revoke it. You are responsible for whom you share with and for revoking access when appropriate. We are not responsible for what recipients do with content you share.

11. Intellectual Property

The Service — including its software, design, text, graphics, logos, and the BoxPin name and brand — is owned by Brain & Bones or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, or create derivative works from the Service except as expressly allowed.

12. Third-Party Services

The Service integrates third-party services, including Anthropic (Claude AI), Supabase, Stripe, Google sign-in, and email providers. Your use of those features may be subject to the third party's own terms and policies, and we are not responsible for third-party services.

13. Termination

  • By you. You may stop using the Service and delete your account at any time.
  • By us. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Where practical and lawful, we will provide notice.
  • Effect. On termination, your right to use the Service ends. Sections that by their nature should survive (including content licenses already granted to recipients, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive. Data handling after termination is described in our Privacy Policy, and you may export your boxes as a CSV before terminating.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE. YOU USE THE SERVICE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAIN & BONES AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify and hold harmless Brain & Bones and its owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to any arbitration provision below, you and Brain & Bones agree to the exclusive jurisdiction of the state and federal courts located in Johnson County, Texas for any dispute not subject to arbitration.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you by email or through the Service. Changes take effect when posted (or on a later date we specify). Your continued use of the Service after changes take effect means you accept the revised Terms.

19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject.
  • Severability. If any provision is found unenforceable, the rest remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices. We may provide notices by email or through the Service.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
